ATOSS Software AG postpones the date of the 2020 AGM

The Management Board of ATOSS Software AG in coordination with the Supervisory Board has decided to postpone the annual general meeting for financial year 2019 scheduled to take place in Munich on April 30, 2020 to a date yet to be determined.

This decision has been taken in the light of the rapidly spreading coronavirus outbreak together with the severe restrictions imposed by the authorities on public life and the uncertainties surrounding the timing of future developments.

ATOSS Software AG attaches the highest priority to the health of its shareholders and employees as well as the service providers concerned. In postponing the annual general meeting, the company wishes to play an active part in countering the spread of the virus through the medium of events with numerous participants.

As a result of postponing the original date set for the AGM, resolutions including the appropriation of retained earnings and the payment of the proposed dividend of EUR 2.55 per share as well as the planned share split in conjunction with an increase in capital out of company funds will also be deferred to a later date.

Dependent upon the pattern of continuing infection and the measures ordered by the competent authorities, and after evaluating new legislation now pending, ATOSS Software AG will endeavor to hold the AGM at the earliest possible moment in time. To this end the Management Board will closely monitor the situation in the coming weeks and announce a new date in due course.
